Video Creation and Map Placement Service Agreement

This Locale Maps Business Feature Service Agreement (“Agreement”) is entered into by and between LOCALE (“LOCALE,” “we,” “us,” or “our”) and the subscribing client (“Client,” “you,” or “your”). By enrolling in a subscription and submitting payment through Stripe, Client agrees to be bound by this Agreement.

1. SERVICES PROVIDED

1.1 Video Creation
LOCALE will create one (1) professionally produced promotional video featuring Client’s business, products, or services (“Video”).

1.2 Video Placement
The Video will be displayed, at LOCALE’s discretion, on one or more of the following platforms:
(a) LOCALE Maps and website map features
(b) LOCALE-owned websites
(c) LOCALE-owned social media channels

1.3 Ongoing Placement
The Video will remain live on LOCALE platforms only while Client’s subscription remains active and all required payments are current.

2. PACKAGE DEFINITIONS (SUBSCRIPTION-TERM BASED)

All plans require a twelve (12) month minimum subscription commitment. Monthly billing continues after the initial term unless cancelled with 30 days written notice. You remain featured on LOCALE Magazine platforms and LOCALE Maps for the duration of your active subscription. Deliverables are tied to the active subscription term and are not based on calendar year.

Essential Plan – $199 per month

Includes one (1) professionally produced promotional video created during the active twelve (12) month subscription term. Video production includes up to ninety (90) minutes of on-site filming, creative ideation and planning, and one (1) round of reasonable revisions.

While the subscription remains active and payments are current, the video will be featured on LOCALE-owned platforms, including LOCALE Maps and LOCALE Magazine Instagram. Placement timing and presentation are subject to LOCALE’s editorial discretion and platform availability.

Growth Plan – $249 per month

Includes everything in the Essential Plan, plus enhanced distribution and additional revisions. Video production includes up to two (2) rounds of reasonable revisions.

While the subscription remains active and payments are current, the video may be featured on LOCALE-owned platforms, including LOCALE Magazine Instagram, TikTok, Facebook, YouTube, and LOCALE Maps. Platform selection, posting cadence, and presentation remain subject to LOCALE’s editorial discretion.

Premium Plan – $299 per month

Includes everything in the Growth Plan, plus expanded content elements and scheduling priority. Video production includes up to three (3) rounds of reasonable revisions and may include an owner or representative interview segment.

While the subscription remains active and payments are current, the video may be featured across LOCALE-owned platforms, including LOCALE Magazine social channels and LOCALE Maps. Premium subscribers receive priority scheduling for video production relative to other active subscribers, subject to availability.

IMPORTANT CLARIFICATIONS

• All videos are produced once per twelve (12) month subscription term unless an upgrade is purchased.
• “Revisions” refer to reasonable edits to the originally captured footage and do not include reshoots or new production days.
• Platform placement does not guarantee impressions, engagement, or performance metrics.
• Video placement and map listings remain active only while subscription payments are current.

Pricing is exclusive of applicable taxes. All plans require a twelve (12) month minimum subscription commitment. 3. TERM AND CONTRACTUAL COMMITMENT

3.1 Initial Term
This Agreement requires a minimum contractual commitment of twelve (12) consecutive months beginning on the date of first successful payment (“Initial Term”).

3.2 No Early Cancellation
Client acknowledges and agrees that this Agreement cannot be canceled, terminated, or suspended during the Initial Term for any reason, including but not limited to lack of use, dissatisfaction with services, business closure, or changes in marketing strategy.

3.3 Payment Obligation
Client remains legally obligated to pay all monthly fees for the full Initial Term, regardless of whether Client actively uses or benefits from the services.

3.4 Automatic Month-to-Month Renewal
Following completion of the Initial Term, this Agreement will automatically continue on a month-to-month basis at the then-current monthly rate unless canceled in accordance with Section 4.

4. CANCELLATION AFTER INITIAL TERM

4.1 Eligibility to Cancel
Cancellation is permitted only after completion of the Initial Term, with at least thirty (30) days written notice.

4.2 Notice Requirement
Either party may cancel by providing at least thirty (30) days written notice. Notice must be sent to LOCALE at [email protected]

4.3 Effective Date of Cancellation
Cancellation becomes effective thirty (30) days after receipt of written notice. Billing will continue during the notice period.

4.4 Removal of Video
Upon effective cancellation, Client’s Video will be removed from LOCALE platforms within ten (10) business days.

5. PAYMENT TERMS AND STRIPE AUTHORIZATION

5.1 Recurring Billing Authorization
By subscribing, Client authorizes LOCALE to charge the payment method on file via Stripe on a recurring monthly basis for the full duration of the Agreement.

5.2 Non-Refundable Payments
All payments are non-refundable, including but not limited to subscription fees, upgrade fees, or charges incurred during the Initial Term.

5.3 Payment Failures
Client is responsible for maintaining valid payment information. Failed or declined payments do not relieve Client of payment obligations.

5.4 Late Payments
Payments more than five (5) days past due may result in suspension of Video placement. Payments more than ten (10) days past due may incur a late fee of $25 or five percent (5%) of the monthly fee, whichever is greater.

5.5 Persistent Non-Payment
If two (2) consecutive payments fail, LOCALE may suspend services or terminate platform access. Termination for non-payment does not waive Client’s obligation to pay all remaining amounts due for the Initial Term.

6. ANNUAL VIDEO UPGRADE OPTION

6.1 Upgrade Availability
After completion of the Initial Term, Client may purchase a new Video for a one-time fee of $500.

6.2 New Commitment Term
Each Video upgrade initiates a new twelve (12) month contractual commitment beginning on the upgrade purchase date.

6.3 Separate Fees
The upgrade fee is separate from and does not replace monthly subscription fees, which continue unchanged.

6.4 Upgrade Process
Upgrades must be requested in writing. Upon payment, LOCALE will produce and replace the existing Video.

7. VIDEO CONTENT AND APPROVAL

7.1 Client Cooperation
Client agrees to provide all necessary materials, information, and approvals in a timely manner.

7.2 Approval Timeline
Client must approve or request revisions within five (5) business days of delivery. Failure to respond may result in the Video being published as-is.

7.3 Revisions
One (1) round of reasonable revisions is included. Additional revisions may incur additional fees.

7.4 Content Responsibility
Client represents that all provided content is lawful, accurate, and non-infringing.

8. LOCALE PLATFORM RIGHTS

8.1 Platform Control
LOCALE retains sole discretion over platform design, layout, features, and functionality and may modify them at any time.

8.2 No Exclusivity
Client acknowledges that LOCALE may feature competing businesses.

8.3 Content Removal
LOCALE may remove any Video that violates applicable laws, platform policies, or content standards.

9. INTELLECTUAL PROPERTY

All Videos created by LOCALE remain the sole property of LOCALE. Client receives a limited, non-exclusive right to have the Video displayed on LOCALE platforms during an active subscription.

10. WARRANTIES AND DISCLAIMERS

10.1 Services are provided in a professional manner consistent with industry standards.

10.2 LOCALE does not guarantee traffic, leads, conversions, revenue, or business outcomes.

10.3 EXCEPT AS EXPRESSLY STATED, SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND.

11. LIMITATION OF LIABILITY

LOCALE’s total liability shall not exceed the total amount paid by Client in the twelve (12) months preceding the claim. LOCALE shall not be liable for indirect, incidental, or consequential damages.

12. INDEMNIFICATION

Client agrees to indemnify and hold harmless LOCALE from all claims arising from Client-provided content, violations of law, or breach of this Agreement.

13. MODIFICATIONS

LOCALE may modify these terms with thirty (30) days’ written notice. Pricing changes will not apply during an active Initial Term.

14. GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement is governed by the laws of California. Disputes shall be resolved by binding arbitration under AAA rules.

15. GENERAL PROVISIONS

This Agreement constitutes the entire agreement. If any provision is unenforceable, the remaining provisions remain in effect.
